Job Description
Company Secretary’s duties include ensuring the integrity of the governance framework, being responsible for the efficient administration of a company, ensuring compliance with statutory and regulatory requirements and implementing decisions made by the Board of Directors.
Key Responsibilities include;
– Ensuring that the company has adequate legal protection and that all contracts are valid and binding
– Ensuring that Board policies and decisions are conveyed to the relevant departments in a reasonable time to enable them efficiently carry out their responsibilities
– Establishing relations with the legal fraternity both in government and private sector to ensure strategic legal collaboration
– Ensuring effective representation in courts of law
– Drawing and execute legal documents
– Providing regular contact with Directors on all matters, schedule and invite Board Meetings and take minutes of Board meetings
– Drafting Board resolutions and ensure implementation of Board motions in a timely manner
– Being the custodian of the company seal; executing company seal to authenticate approved cheques, agreements, and other deserving documentation
– Ensuring safe keeping and indexing for easy retrieval of company contracts, documents of title, leases, logbooks and securities
– Maintaining an updated register of company assets, and ensure that the assets are adequately insured
– Signing and file the Company’s final accounts, Auditors’ reports and Directors’ reports
– Assisting the Managing Director in interpreting provisions of the procurement and disposal of assets (PPDA) Act
– Leading, supervising, and appraising performance of staff in the department
– Ensuring that the business operates under high quality legal and ethical standards
– Ensuring full compliance to the acceptable corporate governance standards
– Being advisor to the Board on technical (legal) matters

Position Requirements
– Honours degree in Law (LL.B) from a reputable university
– Seven (07) years’ post qualification relevant experience, at least three (03) of which should have been in a senior management position or in a similar job.
– A Post Graduate Diploma in Legal Practice
– MUST be an enrolled advocate for atleast seven (7) years
– Possession of professional secretarial qualification (ICSA) will be an added advantage
– Attention to detail
– Ability to meet strict deadlines
– Willingness to work long/unsocial hours
– Possession of a good network with the legal fraternity
– High level of integrity, responsibility and confidentiality
– High sense of self drive and business acumen
